Subscription Agreement

The FQPS Academy subscription grants the Customer that has subscribed (the “Customer”) the right to utilise FQPS Academy’s system and services (the “Services”).

BY ACCESSING OR USING FQPS Academy’s WEBSITE AND SERVICES, CUSTOMER AGREES TO THE TERMS OF THIS AGREEMENT.

This Agreement is effective between Customer and FQPS Academy as of the date of Customer purchase date.

Electronic Transactions: By utilising the Services, you (“The Customer”) automatically agree to conduct transactions electronically with FQPS Academy and you agree to the FQPS Academy subscription terms.

Subscriptions:

Subject to the terms of this Agreement and unless otherwise specified the Customer subscribes to the Purchased Services for the Subscription Term. You acknowledge that your purchases are not dependent on the delivery of any future functionality or features, or influenced by any oral or written public statements made by FQPS Academy regarding future functionality or features.

Duration and Termination of the Subscription:

Subscriptions are effective from the date of Purchase. Subscriptions may have monthly, quarterly, or yearly renewal terms. At the end of each period, the subscription will automatically renew for another term unless terminated by the Customer. The minimum subscription period is one (1) month.

The Customer may terminate a subscription by sending an email to support@fqps.co.uk, one month before the subscription expires. The agreement cannot be terminated for an ongoing subscription period, and no refund will be provided for that period.

The Customer may terminate any subscription free of charge within two weeks from the Purchase date, provided that the Customer has not commenced using the Services, or accessed the Services Content.

FQPS Academy reserves the right to terminate the subscription immediately without prior notice if the Services or subscription are misused, including unauthorised use by other individuals or organisations.

Customer acknowledge that their purchases are not dependent on the delivery of any future functionality or features, or influenced by any oral or written public statements made by FQPS Academy regarding future functionality or features.

Exclusive User:

Your access rights to our platform and materials are granted exclusively to you. No other individual or entity is authorised to access or use our platform or materials on your behalf. You acknowledge and agree that your access to our platform is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and ensuring that they are not shared with or used by any other person. Any unauthorized use of your credentials or access to our platform by a third party shall be deemed a violation of this agreement. FQPS Academy reserves the right to take appropriate legal action in such cases and may terminate your access to the platform.

Customer Responsibilities:

Customer shall use the Services solely in accordance with this Agreement, each Order, and Applicable Laws. Any breach of these obligations by Customer or Authorised Users that, in FQPS Academy’s judgment, threatens the security, integrity, or availability of FQPS Academy’s services may result in the immediate suspension of the Services. FQPS Academy will make reasonable efforts under the circumstances to notify Customer and provide an opportunity to rectify the violation or threat prior to any suspension. Any suspension of the Services by FQPS Academy under this section will not limit FQPS Academy’s right to recover any losses or damages incurred due to Customer’s failure to comply with its responsibilities under this section.

Restrictions:

Customer shall not (a) make any Service or Website Content available to any third party or use any Service for the benefit of any party other than Customer or its Affiliates, unless explicitly stated otherwise in the terms of each Order, (b) sell, resell, license, sublicense, distribute, rent, lease, transfer, or provide access to any Service to a third party, (c) use a Service or Website Content or Non-FQPS Academy Application to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or store or transmit material in violation of third-party privacy rights, (d) use a Service or Website Content or Non-FQPS Academy Application to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of any Service or or Website Content third-party data contained therein, (f) attempt to gain unauthorized access to any Service or its related systems or networks, (g) allow direct or indirect access or use of any Services in a way that circumvents a contractual usage limit, or use any Services or or Website Content to access or use any of FQPS Academy’s intellectual property except as permitted under this Agreement and the terms of each Order, (h) modify, copy, or create derivative works based on a Service, Website Content or any part, feature, function, or user interface thereof, (i) frame or mirror any part of any Service or Website Content (j) disassemble, reverse engineer, decompile, translate, or otherwise seek to obtain or derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of any Service, except to the extent permitted by Applicable Law (and then only upon advance notice to FQPS Academy), or (k) access or use a Service to: (i) develop a competing product or service, (ii) develop a product or service using similar ideas, features, functions, or graphics of the Service, (iii) copy any ideas, features, functions, or graphics of the Service, or (iv) ascertain whether the Services fall within the scope of any patent.

FQPS Academy’s competitors are prohibited from accessing the Services, and the Services may not be accessed for the purpose of monitoring their availability, performance, functionality, or any other benchmarking or competitive purposes.

Price and Payment Terms:

Prices for each service item are specified in the FQPS Academy Website. Payment obligations are non-cancellable, and fees paid are non-refundable.

If credit card information is provided, Customer authorises FQPS Academy to charge the credit card for all Purchased Services by the Customer for the Subscription Term, as well as any renewal or extension of the Subscription Term.

Monthly subscriptions will be charged on a monthly basis in arrears, while annual subscriptions will be charged annually in advance.

FQPS Academy reserves the right to change the fees payable by Customer in accordance with its pricing policy.

If payment is not received by the due date, FQPS Academy may, without limiting its rights and remedies, accelerate the Customer’s unpaid fee obligations under any other agreements or arrangements with FQPS Academy, making all such payment obligations immediately due and payable. FQPS Academy may also suspend Services until all outstanding amounts are paid in full.

FQPS Academy will not be liable for any loss, damage, costs, expenses, or claims resulting from the suspension of Services.

The Customer agrees to receive invoices and reminders via email or another agreed electronic method of transmission. The Customer must provide the relevant email address or electronic contact method for receiving invoices and reminders.

Invoices shall be paid to the bank account or account number specified on the invoice.

Operating Stability:

FQPS Academy strives to provide the highest possible level of operating stability. However, FQPS Academy is not responsible for any breakdowns caused by factors beyond its control. These factors include, but are not limited to, power failures, modem equipment errors, ADSL connections, telecommunications connections, or similar issues. FQPS Academy will make every effort to restore normal operations promptly.

Maintenance of the System:

FQPS Academy reserves the right to make operational changes to the system for improvements or other purposes (e.g., software development or updates) without prior notice to the Customer. In exceptional circumstances, access to the Services may need to be temporarily suspended, typically between 9 pm and 6 am CET. FQPS Academy will not be held responsible for any consequences resulting from a suspension.

Rights:

The system remains the exclusive property of FQPS Academy. Customised software related to the Services also remains the property of FQPS Academy unless otherwise specified. FQPS Academy may transfer its rights and obligations under this agreement to a third party. The transfer of rights and obligations to a third party requires written consent from the other party, except as provided above.

Liability of FQPS Academy:

FQPS Academy has taken reasonable measures to ensure that the Services are free from viruses, bugs, defects, malfunctions, or trojans. However, no warranty is provided, and FQPS Academy shall not be liable if such issues occur. FQPS Academy DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF SUITABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

FQPS Academy shall not be liable to the Customer or any third party for any indirect, punitive, or other damages or losses, including, but not limited to, loss of profits, business interruption, loss of data or its restoration, claims of infringement of third-party intellectual property rights, product liability, or personal injury arising from the use of or inability to use the Services.

FQPS Academy’s liability is limited and capped to the total aggregate amount of payments of twenty US dollars.

Entire Agreement: The Agreement constitutes the entire agreement between the Parties, superseding all previous correspondence or communications, whether written or oral. FQPS Academy may amend these Terms as necessary, posted on the website at https://fqps.co.uk/terms/. All amendments will apply to the subsequent subscription renewal.

Force Majeure:

Except as provided in this Agreement, FQPS Academy shall not be held liable for any default or delay in fulfilling its obligations if such default or delay is caused directly or indirectly by a force majeure event. The non-performing Party must be without fault in causing the default or delay, and reasonable precautions must have been taken to prevent it or circumvent it through alternative means.

A “Force Majeure Event” refers to an event or series of events beyond the reasonable control of the affected party, including internet or public telecommunications network failures, failures of the hosting provider, hacker attacks, denial of service attacks, viruses or other malicious software attacks or infections
