The team

Shoosmiths has a growing and dynamic national banking and finance team, specialising in a mixture of leveraged finance, venture debt, corporate lending, real estate finance and asset based lending.

We advise clearing banks and institutional lenders (enjoying panel status with many of them), private equity houses and corporate borrowers on a range of national and international financing arrangements, security documentation and intercreditor arrangements.

Our 8 strong Thames Valley team is recognised as a Tier 1 in the legal directories and focusses on leveraged finance, venture debt and corporate lending.

Main responsibilities

You will have the opportunity to gain excellent exposure to high quality work, working closely alongside the local team of 8 legal advisors in addition to the national banking and finance team.

Your main responsibilities will involve assisting on a wide range of finance transactions and will include but not be limited to:

  • Drafting corporate authorisation documentation.
  • Obtaining and reviewing information from Companies House.
  • Drafting ancillary documentation (side letters, fee letters, amendment agreements).
  • Preparing guarantee, security and release documentation.
  • Monitoring and checking other conditions precedent requirements.
  • Liaising with clients and other lawyers in relation to condition precedent requirements.
  • Assisting the team with post-completion work in relation to finance transactions.
  • Preparation of completion bibles and post-transaction summary reports.
  • Dealing with registration of security post-closing.
  • Helping to update internal databases.
  • Ad hoc research in relation to legal matters.
  • Assisting with various other tasks as required.
  • Attending marketing and networking events with clients.

Please note this is a full time and permanent role so not suitable for those who have pending training contracts or study commitments which shall cause them to leavethe role within the first 12 months of starting.

Skills and qualifications

  • Ideally 6 months previous paralegal experience within a similar role, or previous corporate paralegal experience within a professional environment
  • Proven ability to communicate effectively both verbally and in writing with internal and external clients
  • Flexible according to client needs, with the ability to adapt to change, new practices and remain calm under pressure
  • A methodical and organised approach with keen attention paid to every detail
  • Able to integrate within a team as well as working on one’s own initiative
  • A willingness to take part in business development, including the attendance at networking and other marketing events
  • Degree and ideally LPC or ILEX qualified
